TERMS & CONDITIONS These terms and conditions (“Agreement”) are a legal agreement between Buoy Hydration, Inc., a Delaware corporation having its principal place of business at 2140 South Dupont Hwy, Camden, DE 19934 (“Buoy Hydration”) and you ("Ambassador"). By signing up to be an Ambassador in the Buoy Ambassador Program ("program") you agree to be bound by the following terms and conditions. Please ensure that you read them carefully before signing up. Language Definitions: Agreement - the contents of the contract between Buoy Hydration, Inc and the Ambassador in respect to the Program Program - The Ambassador program as set out on the Site and is governed by this Agreement Ambassador - Party who agrees to take part in the Program Link - a HTML link provided to the Ambassador to link the Ambassador's website to the Site Site - www.justaddbuoy.com website IG - Instagram 1. The Agreement 1.1. An Ambassador must provide full legal name, valid address, e-mail address and any other information requested in order to create an Ambassador account. 1.2 An Ambassador must have a valid PayPal address to receive commission payments and include this on their profile during registration. 1.3. Buoy Hydration reserves the right to update and change the Agreement from time to time without notice. 1.4. Any modifications or changes to the Program shall be subject to the terms outlined in this Agreement. 1.5. You may not use the Program for any illegal or unauthorized purpose. Violation of the Agreement may result in suspension of your rights to be an Ambassador and result in lost commissions and/or removal from the Program. 2. Modification of Buoy Hydration Ambassador Program terms and conditions Buoy Hydration reserves the right to modify or otherwise change the terms of the Agreement at any time. In the case of any modifications of the terms and conditions in this Agreement, it is up to the Ambassador to stay updated on the terms of this Agreement as Buoy Hydration may change terms without notice from time to time. If the Ambassador doesn't accept any modification, the Ambassadors option is to end the Agreement. 3. Ambassador account In order to enter the Buoy Hydration Ambassador Program (provided by Refersion), the Ambassador needs to create a log-in and password. From this account the Ambassador is able to track and view sales, and receive commission payments. 4. Legitimate methods of advertising 4.1. Ambassadors are permitted to use links, discount codes, any related banners, or text advertisements provided by Buoy Hydration Ambassador program. 4.2. Ambassadors are not permitted to promote any non-Ambassador program related materials, such as coupon codes provided in customer newsletters, codes provided to other Ambassadors, any promotional codes, or codes received from any source other than directly from the Buoy Hydration Ambassador program. 4.3. The promotion should include the offer, discount code, link provided by Buoy Hydration Ambassador program and expiration date. 4.4. Ambassadors must remove invalid codes and banners. 4.5. Ambassador coupon codes and links are not to be promoted on third party websites such as coupon databases. 4.6. Ambassadors are permitted to promote their coupon code and link on their personal social media platforms only and must not share this information on any Buoy Hydration social pages. 4.7. Please note it is strictly forbidden to use Buoy Hydration’s trademark and your Ambassador link on any paid advertising channels. 4.8. Any sales that have been generated through improper promotion, will result in loss of commission. 4.9. Ambassadors may not advertise any other hydration supplement brand whilst enrolled in the Buoy Hydration Ambassador program. Should the Ambassador wish to advertise another Hydration Supplement brand, the Ambassador is responsible for ending the partnership with Buoy Hydration by sending an e-mail. Should Buoy Hydration find that the Ambassador is promoting another Hydration supplement brand during the Ambassador term with Buoy Hydration without receiving prior notification by e-mail, this may result in suspension of your rights to be an Ambassador and result in lost commissions and/or removal from the Program. 4.10.Buoy Hydration reserves the right to take legal action against an Ambassador that commits fraud. 4.11. Ambassador codes will be changed on a frequent basis and Ambassadors will be contacted with their new code. All old codes must be removed and replaced with the new discount code. 5. Copyrighted material Ambassador is responsible for ensuring that product descriptions and images comply with all applicable copyright, trademark, data protection, any intellectual property right or any other applicable law. Buoy Hydration will not be responsible if an Ambassador uses another party's copyrighted material in violation of law. 6. Payments 6.1. Ambassadors receive a commission for sending authorized sales via links provided by Buoy Hydration Ambassador Program. The customer must make a purchase by clicking the link on Ambassador's website within 30 days of the initial click-through. 6.2. The commission is based on product that is sold and subscribers to the subscription program. 6.3. Payout rates may be changed and they can be viewed by logging into Ambassador's account. 6.4. It is an Ambassadors responsibility to determine if the payout for the link provided has been discontinued. 6.5. The commission is paid only on links that can be tracked and reported by Buoy Hydration Ambassador Program systems. In order for systems to track the referral, the customer must have cookies enabled. 6.6. Refunded payments do not qualify for commission fee. 6.7. Payments may be revoked in the instance that a code is leaked on third party websites. It is the Ambassador's responsibility to ensure their code is not leaked. 7. Buoy Hydration Obligations Buoy Hydration agrees to undertake the following obligations: 7.1. Providing the Ambassador with promotional material, such as links, coupon codes, banners and any other graphic materials. 7.2. Processing all orders for Buoy Hydration products placed by following the Ambassador's link. 7.3. Tracking the amount of sales generated through the Ambassador’s’ link and all social media content via tags and mentions 7.4. Payment processing, cancellations, returns and other related customer service for Buoy Hydration for the purpose of business. 7.5. Providing Buoy Hydration products to Ambassadors (1) times per quarter or every (2) months if needed. 7.6. If Ambassadors need more products to create content, it is the Ambassador's responsibility to reach out to the Ambassador Program Coordinator, via email at [email protected]. If you are not eligible to receive more, you are still responsible for following the monthly guidelines. 8. Ambassador Obligations 8.1. Ambassadors are required to post one piece of unique, original content, on their social media platforms on a monthly basis. 8.2. One piece of content can include the following items: IG feed post, IGTV, IG reel, IG stories (4+ frames), Youtube video (review, get ready with me what I eat in a day, drink recipe tutorials), blog post (review, drink tutorial), TikTok feed post. Detailed Ambassador Program content requirements here. 8.3 Instagram content must tag @justaddbuoy on the photo and in the caption in order for Buoy Hydration to track the content. TikTok content must tag @justaddbuoy in the caption in order for Buoy Hydration to track the content. Youtube content must link back to the Buoy Hydration website (justaddbuoy.com) and be emailed to [email protected] to track the content. 8.4. All content must be sent directly to the Ambassador Program Coordinator via Instagram DM or via email to [email protected] at the end of the month for content tracking purposes. 8.5. Ambassador must be following @justaddbuoy on Instagram, TikTok and YouTube. 8.6. Failure to follow Ambassador obligations may result in Ambassador content being overlooked and potential removal from the program. 8.7. If Ambassadors are unable to complete content, they may contact the Buoy Hydration Ambassador Program Coordinator, via email at [email protected], for assistance and provide reasoning. 8.8. Ambassador removal will take place if Ambassadors fail to oblige with content requirements set forth in this agreement. Detailed Ambassador Program content requirements here. 9. The License 9.1. Buoy Hydration grants to the Ambassador a non-exclusive, non-transferable, revocable right to access Buoy Hydration site though the link in accordance with the terms of this agreement and in connection with the promotional materials provided and authorized by Buoy Hydration. 9.2. Buoy Hydration can use content created on social media platforms, website, ads. Ambassador will always be credited. 9.3. Ambassadors cannot modify or change any materials provided by Buoy Hydration in any way. 9.4. Both parties agree not to use other's materials in any manner that is misleading, disparaging or in any way portrays the party in a negative light. 9.5. Any inappropriate use of the promotional material may be cause for immediate termination of the agreement. 10. Liability Buoy Hydration will not be liable to the Ambassador for the defects in the service, interruptions in the accessibility to the service, loss of data on the information handling system or viruses, loss of profits, loss caused by any third party deleting, removing, deactivating or tampering with the Ambassador tracking service or other consequential loss of whether arising from neglect or breach of contract. 11. Termination The term of the agreement starts upon Buoy Hydration Ambassador program acceptance of Ambassador's application and can be terminated by either party. Affiliation can be ended with or without cause at any time, by giving the other party notice of termination in the form of e-mail. Upon the termination of the agreement, the Ambassador will remove all links to Buoy Hydration website, as well as all banners and graphic images provided under the program. |
